1. About us and acceptance

This website, irohlabs.com (the "Site"), is owned and operated by Celik Enterprises, Inc., a corporation incorporated in the State of Delaware, USA, doing business as Iroh Labs. In these Terms and Conditions (the "Terms"), "Iroh Labs", "we", "us" and "our" refer to Celik Enterprises, Inc., and "you" refers to any individual or organization accessing or using the Site.

By accessing or using the Site, submitting information through it, or booking a meeting with us, you confirm that you have read, understood and agree to be bound by these Terms and by our Privacy Policy. If you use the Site on behalf of a company or other entity, you represent that you are authorized to accept these Terms on its behalf. If you do not agree, please do not use the Site.

2. Our services

Iroh Labs works with businesses to evaluate, license and transfer proprietary data to artificial intelligence developers and research organizations. The Site provides general information about these services and allows prospective clients to submit enquiries and schedule calls.

Nothing on the Site constitutes an offer, a commitment to purchase or license data, or legal, financial, tax or regulatory advice. Any data licensing, valuation, brokerage or partnership engagement is subject to, and governed exclusively by, a separate written agreement signed by both parties. In the event of any conflict, that agreement prevails over these Terms.

3. Eligibility

The Site is intended for business use by individuals who are at least 18 years old and capable of entering into binding contracts. It is not directed at consumers or children.

4. Information you submit

When you submit information through our forms, by email or during a call, you represent and warrant that:

• the information is accurate, current and complete to the best of your knowledge;
• you have the right and any necessary authorization to share it with us;
• sharing it does not breach any confidentiality obligation, contract, law or third-party right; and
• you will not submit personal data of others, trade secrets or regulated data (such as health or payment card data) unless we have expressly requested it under an appropriate agreement.

Preliminary information you share during an enquiry is used to assess a potential engagement and is handled in accordance with our Privacy Policy. Where a more detailed review is required, we may ask both parties to sign a non-disclosure agreement before any data or samples are exchanged.

5. Acceptable use

You agree not to:

• use the Site for any unlawful, fraudulent or misleading purpose;
• impersonate any person or misrepresent your affiliation with any company;
• attempt to gain unauthorized access to the Site, its servers, accounts or connected systems, or interfere with their operation or security;
• scrape, crawl, copy or harvest content or data from the Site by automated means without our prior written consent; or
• upload or transmit viruses, malware or any other harmful code.

6. Intellectual property

All content on the Site — including text, graphics, logos, images, illustrations, design and software — is owned by or licensed to Celik Enterprises, Inc. and is protected by copyright, trademark and other intellectual property laws. You may view and print pages for your own internal business evaluation. Any other reproduction, distribution, modification or commercial use requires our prior written permission. "Iroh Labs" and the Iroh Labs logo are trademarks of Celik Enterprises, Inc.

7. Third-party services and links

The Site may link to or embed third-party services, such as our meeting scheduling provider. These services are operated by independent companies under their own terms and privacy policies. We are not responsible for their content, availability or practices.

8. Confidentiality

We treat non-public business information you share with us in connection with an enquiry as confidential and use it only to evaluate and pursue the opportunity you asked us about. Binding confidentiality obligations apply only where set out in a signed agreement.

9. Disclaimer of warranties

The Site and its content are provided "as is" and "as available". To the fullest extent permitted by law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, accuracy and non-infringement. We do not guarantee that the Site will be uninterrupted, error-free or free of harmful components, or that any enquiry will result in an offer or completed transaction.

10. Limitation of liability

To the fullest extent permitted by law, Celik Enterprises, Inc. and its officers, directors, employees and agents will not be liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of profits, revenue, data or goodwill, arising out of or related to your use of, or inability to use, the Site. Our total aggregate liability arising from the Site will not exceed one hundred US dollars (US$100). Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.

11. Indemnification

You agree to indemnify and hold harmless Celik Enterprises, Inc. and its affiliates from any claims, losses, liabilities and expenses (including reasonable attorneys' fees) arising from your breach of these Terms, your misuse of the Site, or information you submit in violation of the rights of any third party.

12. Governing law and disputes

These Terms are governed by the laws of the State of Delaware, USA, without regard to its conflict-of-law principles. Any dispute arising out of or relating to these Terms or the Site will be brought exclusively in the state or federal courts located in Delaware, and you consent to their personal jurisdiction. Nothing in this section limits any mandatory consumer protection rights you may have under the law of your country of residence.

13. Changes to these Terms

We may revise these Terms at any time. The updated version will be posted on this page with a new "Last updated" date and applies from the moment it is published. Continued use of the Site after changes take effect constitutes acceptance of the revised Terms.

14. General

If any provision of these Terms is found unenforceable, the remaining provisions remain in full effect. Our failure to enforce any right is not a waiver of that right. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition or sale of assets. These Terms, together with our Privacy Policy, form the entire agreement between you and us regarding the Site.
